1.	Acceptance

www.globescrap.net （the "Site"）owned and operated by Toptrade providing both free and fee based services.

A "User" is an individual or a legal entity which can form legally binding contracts under applicable law. As a user, you shall be bound by this Terms and guarantee that the information you provided is true, accurate, valid and complete.

By accessing www.globescrap.net, Users are bound by these terms and conditions. Users shall not deny or neglect the legal effectiveness and legal binding of this Terms because it is in electronic form. Your agreement of this Terms signifies that you have fully acknowledged and accepted this Terms. Therefore, your click on "I agree" has identical legal effectiveness as written documents.

1.1 Service Items:
(a) recycling industry status, waste materials marketprices, supply and demand information
(b) ads, trade show, wireless text messages, membership and services
(c) recycling news, national laws and regulations on waste materials and relevant control standards
(d) providing users a business platform for online transaction

1.2 Devices and Costs:
Please note that we are not responsible for all hardware, software, computer, modem and other costs users incur while accessing our website and internet based data on our servers.

2. User Rules of Conduct

2.1 Users may use this Site solely or via www.globescrap.net to post trade leads for their own personal or internal purposes. Meanwhile, users shall be liable for their posting items.

2.2 During the registration process, users will be assigned a Username and Password. They are solely responsible for maintaining the confidentiality of their Username and Password, and for all activities that occur under the username and password.

2.3 Users shall be responsible for their registered information (such as name, address, telephone and fax number, etc.). By becoming a registered user, they consent to the inclusion of their personal data in our User Database and authorize Toptrade to share such information with the others.

2.4 Users shall observe Measures for Security Protection Administration of the International Networking of Computer Information Networks, Provisional Rules on the International Networking of Computer Information Networks Administration in the People's Republic of China, Regulations of the People's Republic of China for Safety Protection of Computer Information Systems, Regulations on Telecommunications of the People's Republic of China, Decision of the Standing Committee of the National People's Congress Regarding International Networking Safety Maintenance, Measures for Administration of Information Service Via Internet, Provisions for Administration of Electronic Bulletin Service Via Internet, Provisional Rules on the Administration of Websites Engaging in News-publishing Business, Measures for Administration of Transmitting Audiovisual Programs Via the Internet and other Information Media, Provisional Rules for the Internet Culture Administration and other related laws, regulations and administrative rules.

2.5 Any violation of the following rules is automatically considered a material breach of this Terms:

(a) Information submitted to the Site shall not violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising) of the People's Republic of China. Posting or transmitting any trade leads, information, data, text, files, links, chat, communication, or any other materials that are unlawful, harmful, illegal, threatening, abusive, invasive of another's privacy, harassing, defamatory, slanderous, vulgar, obscene, hateful, racist, embarrassing or otherwise objectionable to any other person or entity as determined by Toptrade in its sole discretion. Providing false information on their registration form or impersonating any person. Crude talking, harassing, or otherwise harming others. Posting material that infringes on the intellectual property rights of others.

(b) Posting or transmitting any unsanctioned advertising, promotional materials, or any other forms of unsanctioned solicitation, including, without limitation, "junk mail," "spam," "chain letters," or any unsolicited mass distribution of email. Distributing viruses, corrupted files, or any other similar software or programs that may damage the operation of our Site. Engaging in any other conduct that inhibits any other user from accessing or enjoying Toptrade.

2.6 No user shall undertake any scheme to undermine the integrity of the computer systems or networks used by Toptrade and/or any other user and no user shall attempt to gain unauthorized access to such computer systems or networks.

3. Notices

Except as explicitly stated otherwise, notices from the Site are served on the web or informed to the users by email, fax or mail that they registered; any changes on this Terms or other related matters are also notified to the users by the above-mentioned means.

4. Additional Terms

Each of these policies may be changed from time to time. Changes take effect when we post them on the Site. When using particular services on the Site, users are subject to any posted policies or rules applicable to services they use through the Site, which may be posted from time to time. All such policies or rules are hereby incorporated into this Agreement.

5. Fees

We do charge fees for using some of our services. Users will be charged based on our Fees Schedule, which we may change from time to time. Changes to that Policy are effective after we provide users with at least seven days' notice by posting the changes on the Site. We may choose to temporarily change the fees for our services for promotional events (for example, free listing days) or new services, and such changes are effective when we post the temporary promotional event or new service on the Site. Users are responsible for paying the fees associated with the Site in a timely manner with a valid payment method.

6. Termination

6.1 Before the expiry of the service period, users who request to terminate our service shall inform Toptrade 1 month in advance and all paid membership fee will not be refunded. Users shall bear respective responsibility for the loss of the Site that incurred by their termination.

6.2 Toptrade reserves the right to terminate the service at any time or for any reason, with or without notice, if it concludes that users have provided false information in connection with their member account, are engaged in fraudulent or illegal activities, or are engaged in activities that may damage the rights of the Site or others. Toptrade withholds the right to temporarily or permanents terminate membership. We also reserve the right to cancel unconfirmed accounts.

7. Force Majeure

The Site shall not be liable to you for delays or failures in performance resulting from causes beyond our reasonable control, including, but not limited to, acts of God, labor disputes or disturbances, material shortages or rationing, riots, acts of war, governmental regulations, communication or utility failures, or casualties.

8. Resolution of Disputes

If a dispute arises between a user and Toptrade, our goal is to provide users with a neutral and cost effective means of resolving the dispute quickly. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

9. Disclaimer of Warranties

We will try very hard to maximize users profit with Toptrade. However, we cannot always foresee or anticipate technical or other difficulties. These difficulties may result in loss of data or other service interruptions.

Users are not responsible for other users' actions or inactions, including things they post. The Site is a venue to allow anyone to offer, sell, and buy waste materials or relevant products, at anytime, from anywhere. We are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the quality, safety or legality of items advertised, the truth or accuracy of listings, the ability of sellers to sell items, the ability of buyers to pay for items, or that a buyer or seller will actually complete a transaction. For this reason, users expressly understand and agree that their use of the service is at their own risk.

Toptrade expressly makes no warranty that:

The service will meet users requirements.
The service will be uninterrupted, timely, secure, or error-free.
The results that may be obtained from the use of the services will be accurate or reliable.
The quality of any products, services, information, or other material purchased or obtained by users through the service will meet their expectations.

Any material downloaded or otherwise obtained through use of the service is done at the users own discretion and risk and users will be solely responsible for any damage to their computer system or loss of data that results from the download of any such material. 
No advice or information, whether oral or written, obtained by users from Toptrade or through or from the service shall create any warranty not expressly stated in the agreement.
